1. About NaviSpare
NaviSpare is an online B2B marketplace ("NaviSpare", "we", "us", or "our") that connects maritime procurement professionals ("Buyers") with marine spare parts suppliers ("Suppliers"). NaviSpare acts solely as an intermediary platform and is not a party to any transaction, agreement, or contract between Buyers and Suppliers.
2. Acceptance of Terms
By registering for, accessing, or using the NaviSpare platform, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must not use the platform. These terms apply to all users, including Buyers, Suppliers, and any other visitors to the platform.
3. Eligibility
You must be at least 18 years old and acting in a professional business capacity to use NaviSpare. By using the platform, you represent and warrant that you have the authority to bind your company to these Terms & Conditions.
4. Buyer Terms
4.1 Account & RFQ Responsibilities
As a Buyer, you agree to:
- Provide accurate, complete, and truthful information in all Requests for Quotation (RFQs), including part specifications, vessel details, and delivery requirements.
- Only post RFQs for genuine procurement needs. Posting speculative, test, or fraudulent RFQs is prohibited.
- Respond to Supplier bids in a timely and professional manner.
- Honour any agreement made with a Supplier following the award of a bid.
- Not use the platform to obtain pricing intelligence without genuine intent to procure.
4.2 Free Access
Access to NaviSpare for Buyers is currently free of charge. NaviSpare reserves the right to introduce fees for Buyers in the future with reasonable advance notice.
4.3 Rating System
Buyers may rate Suppliers following delivery confirmation. Ratings must be honest and based on genuine experience. Fraudulent, malicious, or retaliatory ratings are prohibited and may result in account suspension.
5. Supplier Terms
5.1 Subscription & Access
Access to the NaviSpare platform for Suppliers requires a paid subscription. By subscribing, you agree to:
- Pay the applicable subscription fee (currently $49/month or $500/year) on time.
- Subscription fees are non-refundable except where required by applicable law.
- NaviSpare reserves the right to modify subscription pricing with 30 days' written notice.
5.2 Profile & Bid Accuracy
As a Supplier, you agree to:
- Provide accurate and truthful information in your profile, including your company name, website, phone number, and VAT/tax number.
- Only submit bids for parts and services you are genuinely able to supply.
- Ensure all bid pricing, lead times, and conditions are accurate and honourable at the time of submission.
- Not submit bids with the intent to gather market intelligence without genuine intent to supply.
- Honour awarded bids and fulfil orders in accordance with the agreed terms.
5.3 Specialisations
Suppliers may set engine manufacturer and part category specialisations on their profile. You agree to only select specialisations that accurately reflect your capabilities and inventory.
6. NaviSpare's Role — Marketplace Intermediary
NaviSpare is a technology platform that facilitates introductions between Buyers and Suppliers. NaviSpare is not a party to any transaction, contract, or agreement between a Buyer and a Supplier.
NaviSpare does not:
- Verify the quality, legality, safety, or authenticity of any parts or services offered by Suppliers.
- Guarantee that any RFQ will receive bids, or that any bid will result in a successful transaction.
- Participate in, mediate, or arbitrate any dispute between a Buyer and a Supplier.
- Hold, process, or guarantee any payment between a Buyer and a Supplier.
- Accept any liability for the actions, omissions, representations, or conduct of any Buyer or Supplier.
All commercial agreements, payment terms, delivery arrangements, and dispute resolution are the sole responsibility of the Buyer and Supplier involved.
7. Limitation of Liability
To the fullest extent permitted by applicable law, NaviSpare shall not be liable for:
- Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
- Any loss of profit, revenue, data, business, or goodwill.
- Any failure or delay in delivery of parts or services following a transaction agreed through the platform.
- Any dispute arising between a Buyer and a Supplier, including but not limited to disputes over quality, payment, delivery, or non-performance.
- Any inaccuracy in information provided by Buyers or Suppliers on the platform.
- Any unauthorised access to or alteration of your data, except where caused by our gross negligence or wilful misconduct.
NaviSpare's total aggregate liability to you for any claim arising out of or related to these Terms shall not exceed the total subscription fees paid by you in the three months preceding the claim.
8. Prohibited Conduct
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
- Post false, misleading, or fraudulent RFQs or bids.
- Harass, threaten, or abuse other users of the platform.
- Attempt to circumvent the platform by taking transactions off-platform to avoid subscription fees, after initial contact has been made through NaviSpare.
- Use automated tools, bots, or scrapers to access the platform without our written permission.
- Attempt to gain unauthorised access to any part of the platform or its infrastructure.
- Upload or transmit any malicious code, viruses, or harmful content.
9. Intellectual Property
All content, design, code, trademarks, and materials on the NaviSpare platform are the intellectual property of NaviSpare B.V. or its licensors. You may not copy, reproduce, distribute, or create derivative works from any platform content without our prior written consent.
10. Account Termination
NaviSpare reserves the right to suspend or terminate any account at its discretion, with or without notice, for violation of these Terms, fraudulent activity, or any conduct deemed harmful to the platform or its users. Suppliers whose accounts are terminated for breach of these Terms are not entitled to a refund of subscription fees.
11. Changes to These Terms
NaviSpare reserves the right to update these Terms & Conditions at any time. We will notify registered users of material changes by email or via the platform. Your continued use of the platform following such notification constitutes acceptance of the updated terms.
12. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Rotterdam, the Netherlands.
